Data Services Terms

These terms govern engagements for Insightnix Data Services, the managed dashboard service operated by Isodev Limited.

1. Who we are

Insightnix Data Services ("Data Services", "we", "us") is operated by Isodev Limited, a company registered in England and Wales with its registered office in Manchester, United Kingdom. Isodev Limited is registered with the Information Commissioner's Office.

These terms apply to every Data Services engagement. By submitting an enquiry with the consent box ticked, or by accepting a quote, you agree to these terms on behalf of yourself and, where applicable, the organisation you represent ("the Client", "you").

2. The services

Data Services is a managed dashboard service. Depending on the agreed scope, it can include:

  • Data sourcing, cleaning, structuring and modelling.
  • Design and build of dashboards on Power BI, Tableau or Excel.
  • Scheduled data refreshes at the agreed frequency (one-off, monthly, weekly or daily).
  • Optional add-ons such as live data integration, forecasting, automated reporting, custom branding and priority support.

The specific deliverables, platform, update frequency and add-ons for an engagement are those set out in the accepted quote. Anything not listed in the quote is out of scope unless agreed in writing.

3. Quotes and engagement

  • Prices shown in the online configurator are estimates. A binding price is only created when we issue a written quote and you accept it.
  • Quotes are valid for 30 days from issue unless stated otherwise.
  • An engagement begins when you accept a quote in writing (email is sufficient) and, where a setup fee applies, when that fee is paid.
  • Timelines given in quotes are good-faith estimates. They depend on timely access to data, credentials and feedback from you, and adjust where those are delayed.

4. Fees and payment

  • Fees consist of a one-off setup fee (where applicable) and a recurring monthly fee, plus any agreed add-ons, as set out in the quote.
  • The setup fee is payable before build work begins and is non-refundable once build work has started.
  • Monthly fees are invoiced in advance and payable within 14 days of invoice unless the quote states otherwise.
  • Third-party licence costs (for example Power BI or Tableau viewer licences) are the Client's responsibility unless the quote expressly includes them.
  • We may suspend the services if an invoice remains unpaid 14 days after its due date, after giving notice.
  • Fees may be revised with at least 30 days' written notice, taking effect from the next renewal. Fee changes never apply retroactively.
  • All fees are stated exclusive of VAT, which is added where applicable.

5. Term and termination

  • Monthly plans have a minimum term of 3 months from the start of the engagement. After the minimum term, either party may end the engagement with 30 days' written notice.
  • One-off builds end on delivery of the agreed deliverables and carry no recurring commitment.
  • Either party may terminate immediately if the other commits a material breach that is not remedied within 14 days of written notice, or becomes insolvent.
  • On termination, we hand over the deliverables in their current state, subject to payment of all outstanding fees, and delete Client data as described in section 8.

6. Client responsibilities

To deliver the services we rely on you to:

  • Provide the data, access and credentials agreed for the engagement, and ensure you have the right to share them with us.
  • Hold valid licences for your chosen platform and any systems we connect to on your behalf.
  • Review deliverables and provide feedback within a reasonable time.
  • Ensure any personal data you share with us is shared lawfully and is limited to what the engagement requires.

Where delays or additional work arise because data, access or feedback is not provided as agreed, timelines move accordingly and material additional work may be quoted separately.

7. Third-party platforms

Dashboards are delivered on third-party platforms chosen by you, such as Microsoft Power BI, Tableau or Microsoft Excel. Your use of those platforms is governed by the platform provider's own terms and pricing, which are outside our control.

  • We are not responsible for platform outages, feature changes, licence price changes or discontinuation by the platform provider.
  • Where a platform change materially affects a deliverable, we will propose a reasonable way forward, which may involve additional quoted work.
  • Automated refresh capabilities differ by platform. The refresh behaviour that applies to your engagement is the behaviour described in the quote for your chosen platform.

8. Client data and confidentiality

  • Client data remains the Client's property at all times. No ownership transfers to us.
  • We use Client data only to deliver the agreed services. It is never published, sold, shared with third parties except as needed to deliver the services, used for other clients, or used to build the public Insightnix platform.
  • Each party keeps the other's confidential information confidential, during and after the engagement, except where disclosure is required by law.
  • On termination, or on written request, Client data held by us is deleted within 30 days, except where a legal obligation requires retention.

9. Intellectual property

  • On payment in full, the Client owns the delivered dashboards and reports built for the engagement.
  • We retain ownership of our pre-existing materials, including our methods, templates, code libraries and know-how. Where these are embedded in a deliverable, the Client receives a perpetual, non-exclusive licence to use them as part of that deliverable.
  • We may describe the engagement in general terms (for example the industry and type of work) for our own portfolio, but we will not name the Client or disclose Client data without written permission.

10. Warranties and disclaimers

  • We warrant that the services are performed with reasonable skill and care.
  • Dashboards present the data supplied to us or sourced as agreed. We are not responsible for errors that originate in the Client's data or in third-party sources, though we will correct our own preparation errors without charge.
  • Dashboards and any forecasting outputs are provided for information. They are not financial, legal or professional advice, and business decisions remain the Client's responsibility.

11. Liability

  • Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be limited.
  • Subject to that, each party's total liability arising out of an engagement is limited to the fees paid by the Client under that engagement in the 12 months before the claim arose.
  • Neither party is liable for indirect or consequential loss, loss of profit, loss of revenue or loss of data, except where caused by a breach of section 8.

12. Data protection

  • Both parties comply with the UK GDPR and the Data Protection Act 2018.
  • Where Client datasets contain personal data, the Client is the controller and Isodev Limited acts as processor, processing only on the Client's documented instructions.
  • Enquiry and account details you submit through the website are processed as described in our Privacy Policy.

13. General

  • These terms, together with the accepted quote, form the entire agreement for an engagement and replace prior discussions.
  • We may update these terms from time to time. The version in force when a quote is accepted applies to that engagement; material changes to ongoing engagements are notified with at least 30 days' notice.
  • Neither party is liable for delay caused by events outside its reasonable control.
  • If a provision of these terms is found unenforceable, the remainder continues in force.
  • These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
